YM UNGKU MASMERA U. FAROUK

YM UNGKU MASMERA graduated with LL.B (Hons) from Universiti Teknologi MARA and she was enrolled as an Advocate & Solicitor of the High Court in Malaya in 2014. Ungku commenced legal practice with Messrs. Ikbal Salam & Associates where she concentrated on conveyancing and commercial work.

Ungku left Messrs. Ikbal Salam & Associates to join Messrs. Clarence Edwin Law Offices in 2015 and was made the principal partner in charge of the conveyancing practice for that firm. She left Messrs. Clarence Edwin Law Offices to set up and manage Messrs. Alias, Kang, Ungku Mas & Associates together with other two (2) co-founders and partners.

Ungku predominantly focuses on corporate and commercial advisory and transactions. She has advised and prepared various agreements and legal documents for various types of clients including corporate restructuring/ reorganisations, joint ventures, private M&A between companies, shares agreements (sale, purchase and shareholders), distribution, supply, construction, non-disclosure etc.

Being passionate in banking and finance, Ungku also has acted for local and foreign financial institutions and borrowers (including multinational corporations, listed issuers, and government linked companies). She has advised on domestic and cross border financing, on a bilateral and syndicated basis, under both conventional and Islamic financing.

Ungku acts for clients in various industries and across multiple jurisdictions in a broad range of real estate related matters, including the acquisition or disposal of commercial buildings, industrial and development lands, and residential properties. She also has been involved in several noteworthy projects in Iskandar economic zone.

SPECIAL PROJECT

Advised and drafted a development agreement for Larkin Arena Project in Johor under Johor’s incorporation company.
Advised and drafted the facilitation grant agreements for Iskandar Regional Development Authority (IRDA) to utilize the grant from Unit Peneraju Agenda Bumiputera (TERAJU) (of which the allocation is provided by the Prime Minister’ Department) for numbers of qualified Bumiputras’ industries, companies and businesses (i.e. well-known Bumiputras’ food industry company, charter airline company, chicken poultry farming & processing, wholesaler etc.).
Advised and drafted the financing scheme between a local Islamic Bank and a Koperasi registered with Iskandar Regional Development Authority (IRDA) under programme known as ‘Kawan Iskandar Malaysia’.
Advised in relation to the ownership of the telecommunications network facilities infrastructure erected on Medini lands at Nusajaya, Johor.

REAL ESTATE

Advised and acted for a subsidiary of PLC in Taiwan in its disposal of two pieces of industrial land located in Kawasan Perindustrian Tanjung Landsat, Johor.
Advisor for numerous real estate agencies companies in Malaysia.
Advisor for subsidiaries and related real estate agencies companies based in Singapore and Asia Pacific.
Advised and acted for clients on the sale and purchase transactions and relevant agreements etc.
Advised and acted for clients on National Land Code leases and tenancies.

Advised and drafted letter of award, construction and management agreement for Johor’s incorporation company.
Advised on the joint venture of private company with a subsidiary of PLC in Malaysia.

Drafted changes of security documentations of corporate Islamic facilities from conventional facilities for a Bank (where the customer was a subsidiary of PLC in Malaysia).
Prepared and handled the security documentation for corporate facilities of RM20 million granted by a foreign Bank to a Spanish company based in Pasir Gudang, Johor.
Prepared and handled the security documentation for corporate facilities of RM10 million granted by a local Bank to a subsidiary of German company specializing in oils, lubricants and additives (one of the best engine oils in the world).
Prepared and handled the security documentation for corporate facilities of RM25 million granted by a local Bank to a subsidiary of PLC in China which is listed in the Fortune 500 companies.
Prepared and handled the security documentation for corporate facilities of RM3 million granted by a local Bank to a British-Malaysia joint venture company who manufacturing wet culinary products for export to overseas markets mainly UK, Europe, Australia and U.S.
